1. Scope of Application
These General Terms and Conditions apply to all business relationships between PONARC GmbH and its customers. Deviating conditions of the customer are not recognised unless PONARC GmbH expressly agrees to their validity in writing.
2. Offers and Contract Conclusion
Our offers are non-binding. A contract is only concluded when we confirm an order in writing or begin to execute it. All agreements require written form.
3. Prices and Payment
All prices are ex works and do not include packaging, shipping costs, insurance, or applicable taxes unless otherwise stated. Payment is due within 30 days of invoice date without deductions. In the event of late payment, we are entitled to charge interest at 9% above the base rate.
4. Delivery and Transfer of Risk
Delivery dates are approximate unless expressly agreed as fixed dates. We are not liable for delays caused by force majeure or events beyond our control. Risk passes to the buyer upon handover to the carrier or upon leaving our warehouse.
5. Warranty and Claims
The warranty period for our products is 24 months from delivery. Warranty claims must be reported in writing within 14 days of discovering the defect. Our warranty covers repair or replacement at our discretion. Further claims are excluded unless they involve intent or gross negligence.
6. Liability
Our liability is limited to intent and gross negligence. We are not liable for indirect damages, consequential damages, or lost profits. This limitation does not apply to damages resulting from injury to life, body, or health.
7. Applicable Law and Jurisdiction
These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from the business relationship is the registered office of PONARC GmbH.
